1. Who we are and what these terms cover
Minuted is a product of Made Purple Ltd, a company registered in England and Wales with company number 11151840, whose registered office is Keystone Innovation Centre, Croxton Road, Thetford, Norfolk IP24 1JD. Our VAT number is 305187615. These terms govern the Minuted partner programme, an agreement between you, our partner, and Made Purple Ltd.
By signing up as a partner and ticking to accept these terms, you agree to them. If you sign up on behalf of a business, you confirm you are allowed to accept these terms for that business.
2. The programme in brief
You point people who might need Minuted at us, using your unique partner code. If someone you refer signs up, their first month is free. When they go on to become a paying customer, you earn £20.
There are no targets, no minimums and no cost to take part. It is a simple referral arrangement, not an employment, agency or joint venture relationship, and it does not make you a representative of Made Purple Ltd.
3. Becoming a partner
The programme is open to businesses and sole traders in the United Kingdom who serve tradespeople and small businesses, such as signwriters, printers, accountants, web designers and trade suppliers.
When you sign up we generate a unique partner code from your business name and give you a QR code and share link that carry it. You can retrieve these at any time from your partner hub.
4. Your code, QR and kit
We may post you a free pack of materials, such as cards and a QR sticker, to help you refer. The kit and your code are for genuine referrals to businesses that might use Minuted.
Please use them honestly and stop using them if you leave the programme. The materials remain associated with Made Purple Ltd and we may ask you to stop using anything that misrepresents Minuted.
5. How referrals are tracked
A referral is tracked when someone enters your code at signup, or signs up through your QR code or share link with your code applied. Where more than one code could apply, the last code used at signup counts. Each customer can be attributed to one partner only.
Our records of which code was used are the authoritative record of a referral. We cannot attribute a referral to you if no code was applied at signup.
6. What your customer gets
A customer who signs up with a valid partner code gets their first month free, applied as a discount at checkout. It is a free month, not a trial, and normal terms apply after it.
The free month covers the monthly plan fee. If the customer buys anything one-off at signup, such as a premium gold number, that is still charged on their first invoice.
7. What you earn and when
You earn £20 for each customer you refer who becomes a paying customer. Because the first month is free, the first paid invoice is the customer's second month. Your £20 becomes payable once that first paid invoice has been settled.
You do not earn anything for a signup that never converts to a paying month, which keeps the programme fair and protects it from people signing up only for the free month.
8. Getting paid
We pay earned amounts monthly by bank transfer. We ask for your bank details at the point you earn your first £20, not at signup, and confirm the payout date then.
You receive a statement by email each month showing your referrals, conversions and the amount due, including months with no activity. Please keep your contact and bank details up to date so we can pay you.
9. VAT and tax
If you are VAT registered, you invoice us £20 plus VAT for each earned referral. If you are not VAT registered, you receive a flat £20 and do not add VAT. Please tell us your correct VAT status and update us if it changes.
What you earn through the programme is your income. You are responsible for declaring it and for any income tax, National Insurance or other tax due on it.
10. Your responsibilities
You agree to promote Minuted honestly and lawfully. In particular you must not:
- Send unsolicited bulk email, texts or spam, or breach any marketing or privacy law
- Make claims about Minuted that are untrue or that we have not published
- Present yourself as Made Purple Ltd, or bid on or misuse our brand and trademarks
- Refer yourself, your own accounts or set up signups only to claim the free month or a payout
11. Referrals we will not pay
We will not pay for referrals we reasonably believe are not genuine, including self-referrals, duplicate or fake accounts and signups made only to trigger the free month or a payout.
Where we find fraud or abuse we may withhold or reclaim payments, cancel the free month and end your partnership. We may also pause payments while we look into a concern.
12. Your data and your customers' data
To run the programme we hold your business name, contact name, business type, email, mobile and postal address, plus your bank details later so we can pay you. Made Purple Ltd is the controller for this partner data and handles it as set out in our privacy policy.
The people you refer become our customers. How we handle their personal data is covered in the same privacy policy. Do not share a referred person's personal details with us beyond what the signup needs.
13. Changing, pausing or ending the partnership
There is no notice period. You can leave the programme at any time, and we can end or pause it, or your participation in it, by letting you know. If we make a significant change to the programme, such as the £20 amount or the offer, we will tell you before it takes effect.
If the partnership ends we will still pay any amounts you have already earned on settled invoices, unless we ended it because of fraud or abuse. Referrals in progress that have not yet reached a paid invoice do not become payable after you leave.
14. Liability
Nothing in these terms limits liability that cannot be limited by law. Otherwise Made Purple Ltd is not liable to you for indirect or consequential loss or for lost earnings, and our total liability to you is limited to the referral payments properly due to you.
The programme is offered as it is. We do not promise any particular level of referrals, conversions or earnings.
15. Governing law and contact
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
